Terms of Service

1. Acceptance of Terms

By creating an account or using LlamaLink (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a legally binding agreement between you and LlamaLink, Inc., a Delaware corporation ("LlamaLink", "we", "our", or "us").

2. Description of Service

LlamaLink provides a multi-tenant platform that allows professionals to create, host, and publish personal and professional websites, link pages, and portfolio sites (collectively, "Sites"). The Service is offered under a subscription model with varying feature tiers. We reserve the right to modify or discontinue features with reasonable notice.

3. Account Terms

• You must be at least 18 years old to create an account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must provide accurate, complete, and current registration information and keep it up to date.
• One person or legal entity may not maintain more than one free account. Accounts are non-transferable.
• You must notify us immediately at legal@llamalink.app if you suspect unauthorised use of your account.

4. Payment Terms

4.1 Fees

The Service is offered with a one-time setup fee and an annual subscription fee, as displayed on our pricing page at the time of purchase. All prices are stated in USD unless otherwise indicated. Applicable taxes (including VAT for UK customers) will be added at checkout.

4.2 Billing

Subscriptions are billed annually in advance. Your subscription will automatically renew at the end of each billing period unless you cancel at least 7 days before the renewal date. Payment is processed via Stripe; by providing payment details, you authorise us to charge the amounts due.

4.3 Refund Policy

We offer a full refund if you cancel within 30 days of your initial purchase ("Trial Period"). After the Trial Period, no refunds or credits will be issued for any remaining subscription term. The one-time setup fee is non-refundable after the Trial Period. To request a refund within the Trial Period, email legal@llamalink.app.

5. Acceptable Use

You agree not to use the Service to:

• Publish or distribute content that is unlawful, defamatory, obscene, harassing, fraudulent, or infringes any third-party intellectual property rights.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Distribute spam, malware, or any harmful code.
• Attempt to probe, scan, or test the vulnerability of our systems without prior written consent.
• Use automated means to scrape, crawl, or extract data from the platform without our written permission.
• Violate any applicable local, national, or international law or regulation.

We reserve the right to remove any content and/or suspend any account that we determine, in our sole discretion, violates these Terms or is otherwise harmful to our users or the platform.

6. Intellectual Property

Your content: You retain ownership of all content you upload or publish through the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free licence to host, store, display, and transmit your User Content solely to provide the Service.

Our platform: All platform code, design, trademarks, and materials are owned by LlamaLink, Inc. and protected by applicable intellectual property laws. You may not copy, modify, or create derivative works from our platform without express written consent.

7. Termination and Suspension

By you: You may cancel your account at any time from your account settings. Cancellation takes effect at the end of the current billing period.

By us: We may suspend your account immediately and without notice if we determine you have violated these Terms, or if your account poses a security or legal risk to us or our users. For non-payment, we will provide a 14-day grace period with email notice before suspending your Site. After 60 days of non-payment following suspension, we may permanently delete your account and all associated data.

Upon termination, your right to use the Service ceases immediately. We are not liable for any loss of data resulting from account termination caused by your breach of these Terms.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LLAMALINK, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless LlamaLink, Inc. and its affiliates from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of your use of the Service, your User Content, or your violation of these Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association in Wilmington, Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.

UK customers retain any statutory rights afforded to them under applicable UK consumer protection legislation that cannot be excluded or limited by contract.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email and/or by posting a prominent notice on the platform at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes your acceptance of the revised Terms.
